What is an IPO?
Who can apply for proposed SpaceX IPO?
We expect only individuals located and tax resident in the UK will be able to apply.
What is the S-1 filing?
An S-1 is a registration statement that companies must file with the US Securities and Exchange Commission (SEC) before going public. It is designed to give potential investors the key information they need before deciding whether to invest.
A typical S-1 includes:
Business overview — what the company does and its strategy for growth
Financial statements — revenue, profits, losses, and cash flow
Risk factors — the key risks facing the business, including competition and regulation
Management team — details of senior executives and board members
Use of proceeds — how the company plans to use money raised through the IPO
Share ownership structure — who owns shares before and after the IPO
The S-1 is not the same as a UK prospectus. It has not been approved by the FCA and may not contain the same information as a document prepared under UK regulations. You should read it carefully alongside the Disclosure Summary before making any decision to invest.
What is a UK retail offer?
When a company goes public, it typically makes a portion of its shares available to everyday investors – this is what is available through the UK Retail Offer. It runs alongside a separate institutional offer, which is directed at professional investors like banks and fund managers.
For the SpaceX IPO, UK retail investors can only access the offer through an authorised broker like IG. You cannot apply directly to SpaceX or to any of the advisers on the transaction.
Who are retail intermediaries?
Retail Intermediaries are FCA-authorised brokers, like IG, that give retail investors access to IPO share offers.
Will I know the share price before I buy?
Not necessarily. In most IPOs, a price range is published in the Prospectus once the Offer Period opens. However, the final share price is typically only confirmed after the application window closes — which means you may commit to investing before the exact price is set
What are the risks?
Investing in an IPO carries a high degree of risk. Before applying, you should be aware of the following:
You may get back less than you invest. Share prices can fall as well as rise. There is no guarantee of a profit.

Neither the U.S. Prospectus nor the Disclosure Summary has been approved by the FCA and the U.S. Prospectus and the Disclosure Summary may not contain the same information as would be included in a prospectus for the purposes of the POATRs or the PRM Sourcebook.
